These terms govern the Even website, local desktop workspace, optional accounts, paid plans, organization control plane, and related services.

Contracting entity. Even is a product of Todience, Inc. These Terms of Service (“Terms”) are an agreement between you and Todience, Inc. (“Todience,” “Even,” “we,” or “us”).
1. Accepting these Terms
By accessing Even, creating an account, downloading or using the application, starting a paid subscription, or accepting an order form that references these Terms, you agree to them and to our Privacy Policy. If you use Even for an organization, you represent that you have authority to bind that organization, and “you” includes it. If you do not agree, do not use the services.
You must be at least 16 and legally able to enter this agreement. If local law requires a higher age, that age applies.
2. The service
Even provides a local-first developer workspace and optional account, synchronization, billing, team administration, policy, approval, device, identity, audit, and Enterprise services. The Free desktop workspace can be used without an account. Features, limits, supported platforms, and plan entitlements may evolve as described on our website, in the application, or in an applicable order form.
Even is in active development. Beta, preview, or evaluation features may change, be interrupted, or be discontinued and should not be used as the sole control for safety-critical work.
3. Accounts and organization administrators
You must provide accurate information, protect credentials and recovery methods, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by Todience’s breach of these Terms.
Organization owners and administrators can invite or remove members, assign roles, enroll or revoke devices, configure policy and identity, view organization metadata and audit records, and manage billing. If you join an organization, its administrators control that organization workspace and its data. Customers are responsible for authorized-user notices, consents, permissions, and lawful administration of their organization.
4. License and restrictions
Subject to these Terms, Todience grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Even application and services for your own internal purposes during the applicable subscription or evaluation period.
You may not:
- use Even to violate law, rights, sanctions, export controls, or another service’s terms;
- probe, disrupt, overload, bypass, or defeat security, policy, entitlement, rate-limit, signing, or access controls;
- introduce malware, steal credentials, impersonate others, or access accounts, devices, data, or systems without authorization;
- resell, sublicense, rent, or provide the hosted service to third parties except under a written agreement with Todience; or
- reverse engineer non-public portions of the service except where applicable law expressly permits it.
5. Agents, automations, and third parties
You choose which agents, models, MCP servers, skills, websites, local services, and other integrations to use. Their output may be inaccurate, insecure, or destructive. You are responsible for reviewing actions, maintaining backups, setting appropriate permissions, and ensuring that your use and content are lawful. Even’s approval and policy features reduce risk but do not replace human judgment.
Third-party services are governed by their own terms and privacy practices. Todience is not responsible for third-party services, content, availability, or changes. You authorize Even to exchange data with a third party when you connect or direct that integration.
6. Your content and feedback
You retain ownership of your source code, prompts, files, credentials, organization data, and other content. You grant Todience only the limited rights necessary to host, transmit, secure, back up, and process information you choose to place in optional cloud services. The local-first data boundary is described in our Privacy Policy.
You represent that you have the rights needed for content and instructions you provide. If you send feedback, you allow Todience to use it without restriction or payment, without identifying you publicly unless you consent.
7. Todience intellectual property
Even, the Even marks, application interfaces, hosted services, documentation, and related technology are owned by Todience or its licensors and protected by intellectual-property laws. Except for the license above and rights expressly granted in an open-source license, no rights are transferred to you.
8. Paid plans, renewal, and cancellation
Stripe processes paid subscriptions for Todience. Prices are stated in U.S. dollars unless shown otherwise and exclude applicable sales tax, VAT, GST, duties, and similar charges. You authorize Stripe and Todience to charge the payment method on file for recurring fees, additional Team seats, applicable tax, and agreed usage or services.
Subscriptions renew automatically for successive monthly or other stated periods until canceled. Organization owners can change licensed seat quantities in Even Control and manage payment methods, invoices, and cancellation through the Stripe customer portal. Quantity changes may be prorated. Cancellation takes effect at the end of the paid period unless law or an order form states otherwise. Fees are non-refundable except where required by law or expressly agreed in writing.
We may change prices or plan packaging with reasonable advance notice. Price changes apply no earlier than the next renewal after the notice period. Failure to pay may result in suspension or downgrade, but local data on your device remains yours.
9. Taxes
You are responsible for applicable taxes other than taxes based on Todience’s net income. Stripe may collect billing location and tax identifiers and calculate tax based on Todience’s active registrations. If you provide a valid exemption or business tax identifier, its treatment remains subject to applicable law and verification.
10. Privacy, confidentiality, and security
Our Privacy Policy explains how Todience handles personal information. Each party will use reasonable care to protect the other party’s non-public confidential information and use it only to perform this agreement. These obligations do not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received without restriction.
You are responsible for secure endpoint configuration, account access, backups, and secrets you control. Todience uses reasonable administrative and technical safeguards but cannot guarantee that every threat or interruption will be prevented.
11. Service changes and availability
We may maintain, improve, suspend, or discontinue features. We will use reasonable efforts to give advance notice of a material discontinuation of a paid service. Any service levels, support commitments, deployment obligations, or remedies apply only if stated in a signed Enterprise agreement or order form.
12. Suspension and termination
You may stop using Even and cancel a paid subscription at any time. Todience may suspend or terminate access for material breach, security risk, unlawful use, non-payment, or where required by law. When practical, we will provide notice and an opportunity to cure. Sections that by their nature should survive—including payment, ownership, confidentiality, disclaimers, liability, and dispute terms—remain effective after termination.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVEN AND ALL BETA OR THIRD-PARTY INTEGRATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TODIENCE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT AGENT OUTPUT IS ACCURATE, THAT THE SERVICE IS UNINTERRUPTED OR ERROR-FREE, OR THAT POLICY CONTROLS WILL PREVENT EVERY UNAUTHORIZED OR HARMFUL ACTION.
Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
EXCEPT FOR YOUR PAYMENT OBLIGATIONS, MISUSE OF TODIENCE INTELLECTUAL PROPERTY, OR LIABILITY THAT CANNOT BE LIMITED BY LAW, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID OR PAYABLE TO TODIENCE FOR EVEN DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100.
15. Indemnity
If you use Even for a business, you will defend and indemnify Todience and its personnel against third-party claims arising from your content, unlawful or unauthorized use, violation of these Terms, or infringement caused by materials or instructions you provide. Todience will promptly notify you and allow you to control the defense, subject to Todience’s right to participate and approve any settlement that admits fault or imposes obligations on Todience.
16. Governing law and disputes
These Terms are governed by Delaware law, without regard to conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to venue there. Mandatory consumer protections and small-claims rights in your place of residence remain available where they cannot be waived.
17. Enterprise agreements
A signed order form, master services agreement, data processing addendum, business associate agreement, or other written agreement with Todience may add or replace terms for Enterprise services. If there is a conflict, the signed agreement controls for its subject matter, followed by the order form, then these Terms.
18. General
You may not assign these Terms without Todience’s written consent, except in a merger or sale of substantially all relevant assets. Todience may assign them as part of a reorganization, merger, acquisition, or asset sale. Neither party is liable for delay caused by events beyond reasonable control. These Terms, the Privacy Policy, and any signed agreement are the entire agreement for their subject matter. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. Failure to enforce a provision is not a waiver. Electronic notices and signatures are effective.
